Welcome to Addlist, a peer-to-peer marketplace mobile application operated by Addlist Limited, a company registered in the United Kingdom. These Terms of Service ("Terms") govern your access to and use of Addlist, including its mobile application, website, and any related services (collectively referred to as the "Service"). By downloading, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Prohibited Items Policy. If you do not agree to these Terms, you may not use the Service.
Throughout these Terms, the terms "we," "us," and "our" refer to Addlist Limited. The terms "you" and "your" refer to users of the Service, whether as buyers, sellers, or visitors. Please read these Terms carefully as they contain important information regarding your legal rights and obligations.
Acceptance of Terms
By using Addlist, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any future amendments and additions to this Terms of Service. We reserve the right to update these Terms at any time, and such changes will be effective immediately upon posting. Your continued use of Addlist following the posting of revised Terms means that you accept and agree to the changes.
Eligibility
To use Addlist, you must be at least 13 years old or at least over the age at which you can provide consent to data processing under the laws of your country, if that is older than 13 years old. By using the app, you represent and warrant that you meet these eligibility requirements. If you are using the app on behalf of a business entity, you further represent and warrant that you have the authority to bind that entity to these Terms.
User Accounts
Account Creation and Maintenance
To access most features of Addlist, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
Account Security
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account or password. If you believe that your account security has been compromised, you must immediately notify us.
Account Termination
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent, abusive, or illegal activity, or other conduct that we determine to be harmful to other users, third parties, or the business interests of Addlist.
Users may submit an appeal within 7 days of an account suspension by contacting us with relevant evidence. If an account is permanently banned, the user is prohibited from creating a new account.
Listing and Selling
Seller Responsibilities
As a seller on Addlist, you are responsible for accurately describing your items, setting fair prices, and fulfilling transactions promptly and as described in your listings. You must not list any items prohibited by our Prohibited and Restricted Items Policy or by applicable law. Sellers are expected to comply with all relevant consumer protection laws and regulations in the United Kingdom, including but not limited to the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Sellers must ship items within 3 business days of receiving payment unless stated otherwise in their listing. Sellers are strongly encouraged to provide a valid tracking number for all shipped items to qualify for any Addlist dispute resolution support, and, if an item is lost in transit, the seller is responsible for filing a claim with the shipping carrier and refunding the buyer if necessary.
Accuracy of Listings
You must ensure that your listings are accurate, complete, and not misleading. This includes providing clear and detailed descriptions of items, accurate representations of their condition, and any relevant details that may affect a buyer's decision to purchase. Misrepresentation of items may result in the removal of listings, suspension of your account, or other actions as deemed appropriate by Addlist.
Intellectual Property Rights
You must have the right to sell the items you list on Addlist. By listing an item, you warrant that you are either the owner of the item or have the authority to sell it, and that the sale of the item does not infringe upon any third party's intellectual property rights, including copyrights, trademarks, or patents.
Users must ensure that any images, descriptions, or brand names used in their listings do not infringe upon third-party copyrights or trademarks. If you believe your intellectual property has been used without authorization, you may file a takedown request by contacting us. Addlist reserves the right to remove content, suspend accounts, or ban users found to be violating intellectual property rights. Repeat violations may result in permanent account termination.
Prohibited and Restricted Items Policy
To keep Addlist a safe and trustworthy marketplace, certain items are not allowed to be sold. Before listing, please make sure your item complies with our Prohibited and Restricted Items Policy. This helps protect our community and ensures a smooth experience for everyone.
Buying
Buyer Responsibilities
As a buyer on Addlist, you agree to pay for items you have committed to purchase. You must not attempt to circumvent or manipulate our fee structure or the billing process. Buyers are expected to communicate promptly with sellers and to complete transactions in good faith.
Disputes
In the event of a dispute between a buyer and a seller, we encourage both parties to communicate and attempt to resolve the issue amicably before opening a dispute via PayPal, our payment processor. While Addlist does not handle payments directly, we may, at our discretion, assist in dispute resolution processes. However, ultimate responsibility for resolving disputes lies with the buyers and sellers involved.
Refunds and Chargebacks
Refund requests must comply with PayPal’s refund policies. Addlist may temporarily suspend or restrict accounts involved in excessive refund requests, chargebacks, or suspected fraudulent activity.
Fees and Payments
Payment Processing
Addlist does not handle payments between users. All payments are processed through PayPal. By using Addlist, you agree to comply with PayPal's terms of service and policies in addition to these Terms.
Fees
You agree to pay all applicable fees and taxes associated with your use of Addlist. Our fee structure may include listing fees, transaction fees, or other charges as outlined in our current fee schedule. We reserve the right to change our fee structure at any time upon notice to you. Continued use of Addlist after such changes indicates your acceptance of the new fee structure.
Taxes
You are responsible for paying all taxes and government charges associated with your use of Addlist. For sellers, this may include sales tax, VAT, or other applicable taxes. You agree to comply with all relevant tax laws and regulations in your jurisdiction. Buyers are responsible for any customs duties, VAT, or import fees that apply in their country. Addlist does not provide tax reporting services and it is the seller’s duty to comply with all tax laws in their jurisdiction.
Prohibited Conduct
Marketplace Integrity
To maintain a safe and fair marketplace, users of Addlist agree not to engage in any of the following prohibited activities:
Violating any applicable laws, regulations, or third-party rights
Infringing on the intellectual property rights of others, including copyright, trademark, patent, or other proprietary rights
Using the app for any illegal or unauthorized purpose
Interfering with or disrupting the app, servers, or networks connected to Addlist
Attempting to gain unauthorized access to any part of the app or any system or network connected to Addlist
Collecting or harvesting any personally identifiable information from the app without express permission
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
Posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Introducing any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
Engaging in any activity that could disable, overburden, damage, or impair the site or interfere with any other party's use of the app
Fraud Prevention
Users are strictly prohibited from:
Attempting to circumvent Addlist's fee structure by arranging transactions or payments outside the platform
Selling or attempting to sell fake, replica, or unauthorized branded products
Creating misleading listings, listing items that do not exist, or failing to honor completed transactions
Operating multiple accounts to manipulate ratings, feedback, or seller protections
Engaging in chargeback fraud or unauthorized payment reversals
Violations of these rules may result in immediate account suspension, listing removal, or legal action
Content
User-Generated Content
You retain ownership of any content you submit to Addlist, including but not limited to product listings, reviews, and comments. However, by submitting content, you grant Addlist a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the app and Addlist's business, including for promoting and redistributing part or all of the app.
Content Removal
We reserve the right to remove any content that violates these Terms or that we deem inappropriate, offensive, or otherwise harmful to users or third parties. We may also remove content in response to legitimate takedown requests or legal obligations.
Feedback and Suggestions
If you provide any feedback or suggestions regarding Addlist, you hereby grant us an unlimited, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use such feedback or suggestions for any purpose without compensation to you.
Intellectual Property
Addlist's Intellectual Property
Addlist and its content, features, and functionality are owned by Addlist Limited and are protected by copyright, trademark, and other intellectual property laws of the United Kingdom and foreign countries. You may not use our trademarks, logos, or other brand features without our prior written permission.
Third-Party Intellectual Property
Respect for intellectual property rights is fundamental to Addlist's operation. We comply with intellectual property laws and expect our users to do the same. If you believe that your intellectual property rights have been infringed, please contact us with a detailed description of the alleged infringement.
Marketplace Role and Liability Disclaimer
Addlist as a Marketplace
Addlist only provides a platform for users to list, buy, and sell items. We are not responsible for the quality, safety, legality, or delivery of goods sold on the platform. Transactions occur solely between buyers and sellers, and Addlist does not own, inspect, or guarantee any items listed. Addlist does not verify user identities beyond basic authentication and does not endorse, guarantee, or certify the trustworthiness of sellers.
Limitation of Liability
To the fullest extent permitted by applicable law, Addlist Limited and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
Your access to or use of or inability to access or use the app
Any conduct or content of any third party on the app
Any content obtained from the app
Unauthorized access, use, or alteration of your transmissions or content
Indemnification
You agree to indemnify, defend, and hold harmless Addlist Limited and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the app, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
Dispute Resolution
Any dispute arising from these Terms or your use of Addlist shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within the United Kingdom for the resolution of any disputes. Before initiating legal proceedings, users must attempt mediation with Addlist. If a dispute cannot be resolved, the parties agree to settle the matter through binding arbitration in London, UK, except for cases involving intellectual property infringement.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
The failure of Addlist to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Addlist.
Entire Agreement
These Terms, together with the Privacy Policy and Prohibited Items Policy, constitute the entire agreement between you and Addlist Limited regarding your use of the app and supersede any prior agreements between you and Addlist regarding your use of the app.
Changes to Terms
We may modify these Terms at any time at our sole discretion. We will notify you of any material changes by posting the new Terms on the app or by sending you an email or other notification. Your continued use of Addlist after any such changes constitutes your acceptance of the new Terms.
